These Terms & Conditions (“Terms”) govern your access to and use of Flipazine (the “Service”), operated by Aqua Fusion Media Ltd (“we”, “us”, “our”), a company registered in England and Wales (company number 06770058), registered office The Old Barn, Anchorage Lane, Sprotbrough, Doncaster, England, DN5 8DT. By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. Definitions
“Content” means the PDFs, flipbooks, images, text and other material you upload to or create with the Service. “Account” means your Flipazine user account. “Plan” means the free or paid subscription tier applied to your Account.
2. Eligibility and accounts
You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your registration details, for keeping your credentials secure, and for all activity under your Account. Notify us promptly at support@flipazine.com if you suspect unauthorised use. Where you invite team members, you are responsible for their use of the Service under your Account.
3. Acceptable use
You agree not to use the Service to upload, create, share or embed Content that:
- infringes the intellectual property, privacy or other rights of any person;
- is unlawful, defamatory, obscene, or constitutes child sexual abuse material;
- contains malware or is used to attack, probe or disrupt the Service or others;
- you do not have the necessary rights or permissions to use; or
- violates any applicable law or regulation.
You must not attempt to circumvent usage limits, resell the Service without our permission, or access it by any means other than the interfaces and API we provide. We may investigate and take action, including removing Content and suspending Accounts, where we reasonably believe these Terms have been breached.
4. Your Content and intellectual property
You retain all ownership of your Content. To operate the Service, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, adapt (for example, rendering PDF pages into flipbook images) and display your Content solely as needed to provide the Service to you and those you share flipbooks with. This licence ends when you delete the relevant Content or close your Account, subject to routine backup cycles. You are responsible for ensuring you have the rights to your Content and that it complies with these Terms.
The Flipazine software, branding and website are owned by us and our licensors. Nothing in these Terms transfers any of our intellectual property to you.
5. Sharing and embedding
The Service lets you share flipbooks by link and embed them on other websites, including behind a domain allowlist for private publications. You are responsible for the pages on which you embed flipbooks and for configuring sharing appropriately. The allowlist is an access-control feature, not a guarantee of absolute security, and you should not rely on it as hard digital-rights management for highly sensitive material.
6. Plans, billing and cancellation
We offer a free tier and paid Plans. Paid subscriptions are billed in advance on a recurring basis (monthly or annually as you select) through our payment processor, Stripe. By subscribing you authorise us and Stripe to charge your payment method for each renewal until you cancel.
- Renewals. Subscriptions renew automatically at the then-current price for your Plan unless cancelled before the renewal date.
- Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you keep access until then.
- Refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods.
- Price changes. We may change Plan pricing on reasonable notice; changes apply from your next renewal.
- Free tier. Flipbooks created on the free tier may display a “Powered by Flipazine” badge. Upgrading to a paid Plan removes it.
Your statutory rights as a consumer, where they apply, are not affected by this section.
7. API
Where your Plan includes API access, you must keep your API keys confidential and use the API within the rate limits and any other constraints described in our API documentation. We may modify, rate-limit, or discontinue API endpoints, giving reasonable notice of material breaking changes where practicable.
8. Availability and changes to the Service
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features from time to time. We will give reasonable notice of material adverse changes where we can.
9. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we exclude all implied warranties, including as to merchantability, fitness for a particular purpose and non-infringement. You are responsible for maintaining your own copies of any Content that is important to you.
10. Limitation of liability
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be excluded by law. Subject to that, we are not liable for any indirect or consequential loss, loss of profits, revenue, data or goodwill, and our total aggregate liability arising out of or in connection with the Service and these Terms is limited to the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the liability, or (b) £100.
11. Indemnity
You agree to indemnify us against reasonable claims, losses and costs arising from your Content or your breach of these Terms or of any applicable law, to the extent such claims do not arise from our own breach or negligence.
12. Suspension and termination
You may stop using the Service and close your Account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends and we may delete your Content in accordance with our Privacy Policy.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the “Last updated” date and, where appropriate, notify you. Continuing to use the Service after changes take effect means you accept the updated Terms.
14. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that if you are a consumer resident elsewhere in the UK you may also bring proceedings in your local courts.
